NUTRLZ Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the NUTRLZ mobile application and related services (collectively, the "App") provided by Lionz Development LLC ("NUTRLZ," "Company," "we," "us," or "our").

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately stop using the App and delete it from your device.

Important Disclaimers

Medical and Educational Disclaimer

NUTRLZ is a self-help and habit-tracking application designed to support users seeking to reduce or stop pornography consumption through habit tracking, AI-assisted coaching, and related tools.

The App:

• is not a medical service

• is not therapy, counseling, or psychiatric treatment

• is not a medical device

• does not diagnose, treat, cure, or prevent any medical or psychological condition

Nothing in the App constitutes medical advice, diagnosis, or treatment. No doctor–patient, therapist–client, or healthcare provider relationship is created by your use of the App, including your use of the AI Coach feature.

If you are experiencing mental health distress, addiction concerns, or a crisis of any kind, you should contact a qualified healthcare professional or, in an emergency, your local emergency services immediately. The App is not a substitute for professional treatment and should not be relied upon as one.

AI Coach Disclaimer

The App includes an artificial intelligence–powered "AI Coach" feature that generates conversational responses based on automated systems, including third-party language models. You acknowledge and agree that:

• Responses from the AI Coach are generated automatically and are not reviewed by a human before being shown to you.

• The AI Coach may produce responses that are inaccurate, incomplete, generic, or inappropriate to your specific situation.

• The AI Coach is not a licensed counselor, therapist, or medical professional, and its output should never be treated as professional advice.

• You should not rely on the AI Coach in place of contacting emergency services or a qualified professional if you are in crisis or at risk of harming yourself or others. If you are experiencing thoughts of suicide or self-harm, call or text 988 (the Suicide & Crisis Lifeline) in the United States, or contact your local emergency number, immediately. The AI Coach is not equipped to handle emergencies and should never be treated as a substitute for crisis support.

Behavioral Health and Addiction Risk Disclaimer

The App addresses topics related to pornography consumption, compulsive behaviors, and habit change. These are sensitive personal, emotional, and psychological topics. You acknowledge and agree that:

1. Individual Results Vary. Behavioral change and habit modification are highly individualized. The App does not guarantee any particular outcome, including abstinence, relapse prevention, or emotional or psychological improvement.

2. Risk of Emotional Distress. Tracking behaviors, viewing streak data, logging relapses, journaling, or contacting your designated Accountability Partner may cause emotional reactions including stress, anxiety, frustration, embarrassment, guilt, or disappointment. Such reactions are a normal possibility when engaging with habit-tracking tools.

3. Not a Clinical Program. NUTRLZ does not provide addiction treatment, behavioral therapy, or psychological counseling, and is not intended to replace professional care for addiction, compulsive behavior, or any mental health condition.

4. User Responsibility for Decisions. You remain solely responsible for your own decisions, actions, and behavioral choices. Any decisions regarding behavioral change, abstinence strategies, mental health treatment, or lifestyle changes should be made independently or in consultation with a qualified professional.

5. No Monitoring of User Behavior. NUTRLZ does not monitor or verify your behavior outside the App and cannot confirm whether any behavioral goal has actually been met.

6. Release of Behavioral Harm Claims. To the maximum extent permitted by law, you agree that NUTRLZ shall not be liable for claims arising from relapse or an inability to change habits; emotional distress related to habit tracking, journaling, or streak data; mental health outcomes associated with use of the App; interactions with your Accountability Partner; or reliance on the App's insights, streak metrics, or AI Coach output.

If you experience severe distress, compulsive behavior concerns, or symptoms of addiction, please seek assistance from a qualified healthcare professional.

Accountability Partner Disclaimer

The App allows you to designate an "Accountability Partner" by entering their name and phone number, and provides shortcuts to call or text that person directly from your device. You acknowledge and agree that:

• NUTRLZ does not verify the identity, relationship, availability, or suitability of any person you designate as an Accountability Partner.

• NUTRLZ does not monitor, record, or have any visibility into calls, texts, or conversations initiated through this feature — these communications occur entirely through your device's native phone and messaging functions.

• You are solely responsible for obtaining that person's consent to be contacted in this way and for the content of any communication with them.

• NUTRLZ is not responsible for that person's response, availability, or conduct, or for any consequences arising from your use of this feature.

Content Blocker Disclaimer

The App may offer a content-blocking feature built using Apple's Screen Time / Family Controls framework to help restrict access to certain categories of content on your device. You acknowledge and agree that:

• No content-blocking technology is guaranteed to be complete or unbypassable. The feature is a supportive tool, not a guarantee that any specific content will be inaccessible on your device.

• The feature depends on permissions and settings that you control and can disable at any time; NUTRLZ has no ability to prevent you from disabling or bypassing it.

• NUTRLZ is not liable for any content viewed, accessed, or encountered on your device notwithstanding the use of this feature.

1. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that you meet this age requirement. NUTRLZ reserves the right to suspend or terminate any account where this requirement is not met, at its sole discretion and without notice.

2. Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate information, maintain the security of your login credentials, and promptly notify us of any unauthorized access to your account. You are solely responsible for all activity occurring under your account. NUTRLZ is not responsible for losses caused by unauthorized account access resulting from your failure to safeguard your credentials.

3. License to Use the App

Subject to your compliance with these Terms, NUTRLZ grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the App solely for your own personal, non-commercial use. No other rights are granted. All rights not expressly granted are reserved by NUTRLZ.

4. Intellectual Property Ownership

The App and all related technology — including its software, source code, AI coaching prompts and configurations, databases, designs, graphics, text, branding, trademarks, logos, user interface elements, streak and progress-tracking systems, and any other proprietary systems — are and remain the exclusive property of NUTRLZ (Lionz Development LLC) or its licensors, and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

5. Intellectual Property Restrictions

You may not, directly or indirectly:

• copy, reproduce, modify, distribute, sell, license, or create derivative works based on the App;

• reverse engineer, decompile, or disassemble any portion of the App;

• attempt to extract source code, algorithms, prompts, or underlying data models;

• scrape, harvest, or collect data from the App using automated tools, bots, or crawlers;

• mirror or frame the App within another service;

• use the App, or any content obtained from it, to build a competing product or service;

• use the App or its content to train, fine-tune, or evaluate any machine learning or artificial intelligence system;

• attempt to access non-public APIs, systems, or infrastructure;

• probe, scan, or test the security of our systems; or

• attempt to bypass or circumvent any security measure, authentication requirement, or rate limit.

Any unauthorized use may result in immediate termination of your access, legal action, claims for damages, and injunctive relief.

6. AI Training and Data Extraction Prohibition

You may not use the App, or any content, data, or output generated through it (including AI Coach conversations), to train, develop, fine-tune, benchmark, or otherwise improve any artificial intelligence or machine learning system, without NUTRLZ's prior express written consent. Any attempt to scrape, extract, or otherwise obtain data from the App for these purposes is strictly prohibited, and NUTRLZ reserves the right to pursue all available legal remedies for violations of this section.

7. Protection of Platform Integrity

NUTRLZ takes the security and integrity of its platform, systems, and data seriously. Unauthorized access to, interference with, or attempts to compromise the App or its infrastructure — including unauthorized scraping, attempts to access restricted systems, reverse engineering, or circumvention of security or rate-limiting controls — are strictly prohibited. Where such conduct is identified or reasonably suspected, NUTRLZ may suspend or terminate access, block associated devices, accounts, or networks, preserve evidence, cooperate with law enforcement, and pursue civil claims for damages and injunctive relief. Such conduct may also violate applicable federal or state computer fraud and intellectual property laws.

8. User Content

The App allows you to create content such as journal entries, progress logs, relapse logs, and messages sent to the AI Coach ("User Content"). You retain ownership of your User Content. By submitting User Content through the App, you grant NUTRLZ a worldwide, non-exclusive, royalty-free license to store, process, transmit, and analyze that content solely for the purpose of operating, maintaining, securing, and improving the App and its features (including generating AI Coach responses). You represent that you have the right to submit your User Content and that doing so does not violate any third party's rights.

Some User Content — including relapse logs, journal entries, and AI Coach conversations — may reflect sensitive personal or behavioral health information. NUTRLZ handles this content in accordance with our Privacy Policy, which describes how it is stored, who can access it, and how you can request its deletion.

9. Prohibited Conduct

You agree not to:

• violate any applicable law;

• harass, threaten, or abuse any other person through the App, including your Accountability Partner;

• upload or transmit illegal, harmful, or sexually exploitative content of any kind;

• impersonate any person or entity;

• exploit the App for unauthorized commercial purposes;

• attempt to bypass or interfere with any safety, moderation, or content-blocking system within the App; or

• interfere with, disrupt, or degrade the functionality of the App.

NUTRLZ reserves the right, at its sole discretion, to remove content, restrict access, or terminate accounts that violate this section.

10. Subscriptions and Billing

Certain features of the App, including full access to the AI Coach, require a paid subscription. Subscriptions are purchased and billed through the Apple App Store and are governed by Apple's applicable payment terms. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time through your Apple ID account settings. All fees are non-refundable except where required by applicable law. NUTRLZ reserves the right to modify subscription pricing or features with reasonable notice, consistent with Apple's applicable policies.

11. Beta Features

From time to time, NUTRLZ may release experimental or beta features. These features may be unstable, may change or be discontinued at any time, and are provided on an "as is" basis without warranties of any kind.

12. Third-Party Services

The App integrates with third-party services, including but not limited to Firebase (authentication, database, and cloud functions), OpenAI (AI Coach responses), and RevenueCat and Apple (subscription billing). NUTRLZ is not responsible for the practices, availability, or content of these third-party services, and your use of them is additionally governed by their own applicable terms and privacy policies. If you downloaded the App from the Apple App Store, you acknowledge that these Terms are an agreement between you and NUTRLZ, not Apple Inc., and Apple has no responsibility for the App or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL RELATED CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRLZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES — INCLUDING, WITHOUT LIMITATION, EMOTIONAL DISTRESS, ADDICTION-RELATED HARM, LOSS OF DATA, OR LOST PROFITS — ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. IN NO EVENT SHALL NUTRLZ'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE APP EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR THE TOTAL AMOUNT YOU PAID TO NUTRLZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless NUTRLZ (Lionz Development LLC) and its affiliates, officers, members, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the App, your violation of these Terms, your User Content, or your violation of any law or third party's rights.

16. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or your use of the App shall be resolved exclusively through binding arbitration on an individual basis. By agreeing to these Terms, you waive any right to a jury trial and any right to participate in a class action lawsuit or class arbitration. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and shall take place in Monmouth County, New Jersey, unless otherwise mutually agreed or required by applicable law.

17. Termination

NUTRLZ may suspend, restrict, or terminate your access to the App at any time, with or without notice, if you violate these Terms, misuse the App, or engage in conduct that creates legal, security, or reputational risk to the Company.

18. Changes to the App and These Terms

NUTRLZ reserves the right to modify features, discontinue services, change pricing, or update these Terms at any time, subject to applicable law. Material changes will be reflected by an updated "Last Updated" date, and continued use of the App after such changes constitutes your acceptance of the revised Terms.

19. Corporate Transactions

If NUTRLZ undergoes a corporate transaction — including a merger, acquisition, financing, restructuring, or sale of assets — information associated with your account may be transferred to the successor entity as part of that transaction, consistent with our Privacy Policy or applicable notice requirements.

20. Export Compliance

You may not use, access, or export the App or any related technology in violation of applicable United States export control laws, sanctions regulations, or other applicable international trade laws.

21. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the App, constitute the entire agreement between you and NUTRLZ regarding your access to and use of the App.
